Birkenstock Rewards Program Terms and Conditions

These Terms and Conditions (“Terms”) apply to your access to, and participation in, the Birkenstock Rewards program (“BIRKENSTOCK VIP”) in Canada (the “Program”), which is operated by Birkenstock Canada Ltd. (“BIRKENSTOCK”, “we” or “us”) or its respective subsidiaries, licensees, and affiliated companies. Please carefully read these Terms before participating in the Program, as well as the Birkenstock website Terms of Use and the Birkenstock Privacy Policy, both of which are incorporated herein by this reference.

THE Birkenstock TERMS OF USE CONTAIN A CLASS ACTION WAIVER PROVISION THAT REQUIRES THE PARTIES TO RESOLVE ANY AND ALL DISPUTES ON AN INDIVIDUAL BASIS AND LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES RELATING TO THE OPERATION OR USE OF THE SERVICE. BY ACCESSING OR PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR PARTICIPATE IN THE PROGRAM.

In its sole and absolute discretion, Birkenstock may change, modify, or terminate any and all aspects of the Program including, without limitation, its rules, terms, conditions, or rewards, with or without notice. Such changes may or may not affect previously accrued Points or Benefits.

1. Introduction

The Program provides eligible participants who register for the Program through www.birkenstock.com (the “Website”) with the opportunity to collect “Points” by participating in various activities, some of which are described below. The Program consists of Tiers, each of which offers different Benefits. Participants are placed in a Tier based on their total lifetime spend on the Website. Participants who have never made a purchase on the Website will start in Tier 1 and can move up Tiers by making purchases on the Website. Participants who have made purchases on the Website in the past will start in the Tier associated with their total lifetime spend. Shipping, tax and amounts refunded do not count towards lifetime spend (“Fees”). Participants earn one (1) Point for every $1 spent on eligible purchases on the Website and may also earn Points by participating in other activities, such as subscribing to email. Points can be redeemed for coupons. Lifetime spend is used to determine your Tier and Tier status does not expire.

These Terms govern the Program along with any other terms or policies incorporated by reference into these Terms. In the event of any conflict or inconsistency between these Terms and the terms of any other policies incorporated herein, these Terms will prevail, govern and control with respect to any matters pertaining to the Program and the other policies will prevail, govern and control with respect to all other matters.

2. Eligibility

The Program is open only to participants who are legal residents of Canada, who are eighteen (18) years of age or older and who register for the Program through the Website (“Members” or “you”). Registration is free. Any person whose access to the Website has been terminated or suspended by Birkenstock is NOT eligible to participate. To participate in the Program, go to the Website and submit the information requested on the registration page. By participating, you confirm that you have read, understood and unconditionally consent to these Terms, the Birkenstock Site Terms of Use, and the Birkenstock Privacy Policy. Once you complete and submit all the registration information, a Program account (each, an “Account”) will be created for you. All registration information must be completed in full. Memberships can only be used by the Member whose name is listed on the Account. You should not give your password to any other person. You are responsible for all activity in your Account and any use of your password. Limit one (1) Account per person. Birkenstock reserves the right to request materials to verify your identity. If you attempt to obtain more than one Account, all Points and Benefits in your Account may be forfeited, and Birkenstock may, at its sole discretion, terminate your membership and permanently ban you from participating in the Program. Officers, directors and employees of Birkenstock and its parent, subsidiaries, divisions and affiliates, (each, a “Program Entity”, and collectively, the “Program Entities”)are not eligible to participate in the Program or receive any Program benefits, including collecting or redeeming Points. Additional or different eligibility criteria may apply to certain opportunities related to Points or Benefits and other invitations made by the Program Entities or their business partners. The Program is provided to individuals for personal use only and may not be used for commercial purposes, or in any way that harms Birkenstock or any other person or entity. Corporations, associations, or other groups may not participate in the Program. It will be considered fraudulent for any individual, company, club, association, or group to use or to direct, encourage, or allow other persons to use a single Account for the purpose of accumulating or aggregating Points for combined use, unless such use is expressly permitted by Birkenstock.

3. Points

Members have many ways to collect Points in the Program (subject to change). For current details on what activities are eligible for Points and the number of Points associated with each activity, please visit www.birkenstock.com/ca/birkenstock-vip/, which may also include additional details on requirements to receive Points for the below activities.

  • Signing Up for a Program Account. Members can collect Points by completing and submitting their registration information for an Account via the Website.

  • Making Purchases on the Website. Members can collect Points by making purchases on the Website. In-store or online purchases at third-party stores selling Birkenstock products are not eligible. You will receive one (1) Point for each U.S. dollar spent on the Website (pre-taxes and Fees, after applicable discounts, and rounded to the nearest dollar). You will not receive Points for purchasing a Birkenstock gift certificate. Birkenstock may choose to offer limited time promotions during which some purchases will be eligible for “Bonus Points.” Points are automatically added to your account when purchase is completed via the Website and you are logged into their account.

  • Opt-in to Promotional Communications. The Program may provide Members with the opportunity to collect Points in exchange for signing up to receive promotional and marketing offers from Birkenstock, for example, via email or SMS messages. To unsubscribe, follow the instructions on the messages you receive from us.

  • Social Media Activity. Members can collect Points by following Birkenstock accounts on social media, such as Instagram and Facebook.

  • Posting Reviews. Members can collect Points by submitting a review of any product(s) purchased on the Website.

It may take up to seven (7) business days for Points to be credited to your Account. Birkenstock shall not be responsible for, or liable to, any Member, person or entity, in any way, for any losses, costs or expenses incurred by a delay or error in crediting Points or Tier benefits to a Member's Account. Available Point totals for a Member’s account will be displayed under their Account information on the Website.

4. Program Tiers

Each Member of the Program will be assigned a Tier based on the total lifetime spend they have accrued on the Website (pre-taxes and Fees, after applicable discounts, and rounded to the nearest dollar). Each Tier will offer different benefits, consisting of, for example, discounts, offers, or special access (“Benefits”). Upon joining the Program each Member who has never made a purchase on the Website will be in Tier 1. Members may move up Tiers based on purchases made on the Website. Access to each new Tier will require that a Member reach a certain dollar spend threshold. When a Member joins a new Tier, they will receive the Benefits of that Tier. For current details on what Benefits apply to each Tier and the amount of dollars spent required to qualify for that Tier, please visit [www.birkenstock.com/ca/birkenstock-vip]. Birkenstock reserves the right to change, modify or update the amount of spend required for each Tier as well as the Benefits associated with each Tier.

A Member’s initial Tier is determined by total lifetime spend on the Website. Once a Member qualifies for a Tier, the Member will always have access to that Tier’s perks. Future spend on the website will contribute to Tier status after Program after a participant has signed up for the Birkenstock Rewards Program. Points, however, expire on a rolling basis if unused within one (1) year from the date they are earned.

If a refund is successfully processed, or a Member otherwise has Points removed for any reason, the Member’s total points available in their Account will be automatically recalculated and, in the event that Member is no longer eligible for a current Benefit as a result, such Benefit will be automatically removed from the Member Account.

5. Restrictions and Inactivity

Following the first Rewards Year when a Member joins the Program, if there is no purchase associated with an Account in the prior twelve (12) months on an ongoing, rolling basis, then any Points and unused Benefits held by that Member will expire. Following expiration, if the Member completes any new qualifying activity to collect Points, such as making a qualifying purchase or leaving a review, then they will accrue Points beginning at a balance of zero (0) and will not re-gain the previously expired Points. Upon resumption of Program activity, a Member will have another twelve (12) months prior to any Points or Benefits expiring, after which point, accrued Points and unused Benefits will again expire if there is no purchase in the prior twelve (12) months on an ongoing, rolling basis.

Any Benefits received under the Program may be subject to additional expiration dates. If applicable, this will be disclosed when the offer is presented.

Birkenstock, in its sole discretion, may impose a limit on the number of Points or Benefits in the aggregate or by type that may accrued or redeemed per Account, per day, per Benefit, or per any other generally-applicable metric that may be selected by Birkenstock from time to time in its sole discretion.

Points and Benefits are non-assignable and non-transferable. Any Points or Benefits assigned or transferred in violation of these Terms may be confiscated or cancelled.

Members shall be solely responsible for all federal, state, and/or local taxes including, without limitation, income taxes and any reporting consequences thereof in connection with any Benefits. If required by law, as determined by Birkenstock in its sole discretion, Birkenstock reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due.

Points and Benefits have no cash value and may not be redeemed for cash and may not be sold, auctioned, bartered, brokered, purchased, transferred, assigned, or used to engage in any gambling activity. Any Points or Benefits obtained in this manner by any person or entity will be considered to have been fraudulently obtained and deemed void and such Points and Benefits may be confiscated or cancelled. Points and Benefits must be used in accordance with these Terms. Points and Benefits will not be replaced, reissued, or credited if lost, stolen, or otherwise altered or destroyed.

Each Member is responsible for ensuring that the information in the Member’s Account is accurate and is kept current. If a Member believes that the Member’s Account does not properly reflect Points or Benefits accrued from engaging in any activities, the Member must contact Birkenstock to resolve the issue. All questions or disputes regarding an individual’s eligibility for the Program, the collection, crediting or use of Points or Benefits, or a Member’s compliance with these Terms will be resolved by Birkenstock in its sole discretion.

6. Modification and Termination

Birkenstock may modify any of these Terms, including, but not limited to, the methods through which Points or Benefits are accrued, how Points or Benefits can be used, the types of Points available, the Tiers, and the conditions under which Points or Benefits may expire or be forfeited, at any time, with or without notice, even though these changes may affect a Member's ability to use the Points or Benefits that the Member has already collected. The Program has no predetermined termination date and may continue until such time as Birkenstock decides to terminate the Program. Birkenstock may, in its sole discretion, modify or terminate the Program, in whole or in part, at any time and for any reason or no reason at all, with notice on the Website, and/or via email to the Members’ email addresses currently on file with Birkenstock

If Birkenstock amends these Terms, it will revise the “last updated” date located at the top of these Terms. For changes to these Terms that Birkenstock considers to be material, Birkenstock may place a notice in the Website by revising the link on the home page to read substantially as “Updated Birkenstock Rewards Terms and Conditions” for an amount of time that we determine in our discretion. If you continue to participate in the Program by accruing Points or Benefits, using Benefits, logging onto your Account or in any other way after these Terms have been changed, you will be deemed to have read, understood and unconditionally consented to and agreed to such changes. The most current version of these Terms will be available on the Website and will supersede all previous versions of these Terms.

If Birkenstock decides in its sole discretion to discontinue the Program, Members will have approximately thirty (30) days or an amount of time deemed reasonable by Birkenstock in its sole discretion from the date Program termination is announced to use any Benefits. Members may not rely on continued Points or Benefit availability. Any Points or Benefits remaining in a Member's Account at the time of termination will be forfeited and no compensation will be provided.

Birkenstock may cancel your membership, cancel accrued Points or Benefits, alter the number of Points or Benefits in your Account or suspend your membership privileges at any time with immediate effect if Birkenstock determines in its sole discretion that you have (a) acted in a manner inconsistent with applicable laws or ordinances; (b) acted in a fraudulent or abusive manner; (c) breached any of these Terms; (d) engaged in any fraud or abuse concerning Points or Benefits; (e) acting in an unethical or disruptive manner; (f) acting with intent to annoy, abuse, threaten or harass Birkenstock, its representatives, or any other Member in any manner related to the Program; or (f) engaged in any conduct or act that causes Birkenstock to terminate or suspend your access to your Account. Birkenstock may also take appropriate administrative or legal action if any of the items listed above occurs. Birkenstock’s failure to enforce any of these Terms shall not constitute a waiver of the affected provision, or any other provision. Nothing contained in these Terms shall limit Birkenstock in its exercise of any legal or equitable rights or remedies.

7. Privacy and Communications

All personal information provided by Members to Birkenstock during enrollment and participation in the Program will be handled in accordance with Birkenstock’s online Privacy Policy.

Birkenstock may communicate updates about the Program, promotions, and other relevant information to loyalty program members via email. Members can choose not to receive marketing communications from Birkenstock by clicking on the unsubscribe link in Birkenstock’s marketing emails. Members may also choose, if Birkenstock so offers, to receive marketing communications in other channels, such as SMS. These channels will have their own opt-out mechanisms for Members to unsubscribe.

8. Program Malfunctions and Conduct

The Program Entities are not responsible for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Additionally, the Program Entities are not responsible or liable for any computer, programming, printer errors or the issuance of any unintended Points or Benefits. In no event will Program Entities be liable for, and members expressly release the Program Entities from any claims as to the issuance of any unintended Points or Benefits. If, for any reason, the Program is not capable of running as planned, including, due to errors of any kind or nature, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Birkenstock which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, Birkenstock reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Program or otherwise respond to the circumstances as Birkenstock deems appropriate. In the event Birkenstock is prevented from continuing with the Program as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, windstorm, epidemic, pandemic, public health crisis, disease, virus, sickness or outbreak or other similar or dissimilar natural disaster; act of God or public enemy; riot or civil disturbance, act of any government or governmental authority, power failure, satellite or equipment failure, failure of telecommunications lines or failure or breakdown of plant, machinery or vehicles operated by a third party; labor dispute, strike, or lockout; actual or threat of war, armed conflict, terrorist attacks, war (declared, undeclared or threatened), explosion, nuclear, or chemical or biological contamination; or a government imposed travel ban, restriction on movement or gatherings, or other government imposed mandate of any kind, order of any court or jurisdiction, or other cause not reasonably within Birkenstock’s control (each a “Force Majeure” event or occurrence), Birkenstock shall have the right to immediately modify, suspend, or terminate the Program, in whole or in part.

9. Disclaimer, Limitation of Liability and Indemnity

THIS PROGRAM, AND ALL CONTENTS, PRODUCTS AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS PROGRAM ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS. BIRKENSTOCK AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS PROGRAM OR THE CONTENTS OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PROGRAM, UNLESS OTHERWISE SPECIFIED IN WRITING. BIRKENSTOCK DOES NOT WARRANT THAT YOUR USE OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE WEBSITE OR ITS SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS. YOU EXPRESSLY AGREE, BY YOUR PARTICIPATION IN THE PROGRAM, THAT YOUR USE OF THE WEBSITE AND PARTICIPATION IN THE PROGRAM IS AT YOUR SOLE RISK, AND THAT YOU ASSUME FULL RESPONSIBILITY.

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, BIRKENSTOCK AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, BIRKENSTOCK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR DAMAGES, INJURY, CLAIM OR LIABILITY ARISING FROM OR RELATED TO YOUR PARTICIPATION IN, OR INABILITY TO PARTICIPATE IN, THE PROGRAM, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR SERVICES INCLUDED ON, OR OTHERWISE MADE AVAILABLE TO YOU THROUGH, THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, DIRECT OR INDIRECT LOST PROFITS OR LOST BUSINESS DAMAGES, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND AND HOLD BIRKENSTOCK , ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, HARMLESS FROM AND AGAINST ANY AND ALL THIRD PARTY CLAIMS, DEMANDS, LIABILITIES, COSTS OR EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM OR RELATED TO THE PROHIBITED USES OF THIS SITE BY YOU, AND ANY OTHER BREACH OF THESE TERMS OF USE BY YOU. THE FOREGOING “DISCLAIMER, LIMITATION OF LIABILITY AND INDEMNITY” PROVISION MAY NOT APPLY TO CONSUMERS WITHIN THE STATE OF NEW JERSEY OR IN OTHER JURISDICTIONS WHERE PROHIBITED BY LAW.

NOTHING IN THIS SECTION IS INTENDED TO LIMIT REMEDIES FOR PRODUCT-RELATED INJURY OR RELATED INJURY ARISING FROM ANY EXPRESS PRODUCT WARRANTIES.

BIRKENSTOCK IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER.

IF YOU ARE DISSATISFIED WITH PROGRAM, OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PROGRAM.

10. Disputes

All questions or disputes regarding eligibility for the Program, accruing Points or Benefits, interpretation of the Terms or Privacy Policy, or a participant’s compliance with the Program, will be resolved as set forth in the “Disputes: Class Action Waiver, Jury Trial Waiver,” “Applicable Law,” and “Jurisdiction; Venue; Class Waiver” sections of the Birkenstock website Terms of Use.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which will otherwise remain in full force and effect.
