# YESBIRKENSTOCK - Terms of Use

Thank you for sharing your BIRKENSTOCK style with the world! BIRKENSTOCK really likes the photo, video or other content you posted online ("User Generated Content" or "UGC") with the BIRKENSTOCK tag or related hashtag (i.e. a hashtag containing the name of BIRKENSTOCK or another name or trademark belonging to the BIRKENSTOCK GROUP). To inspire others, we would like to feature it on our online channels like the BIRKENSTOCK websites, online-shops, official marketing channels and/or social media pages.

To do so, BIRKENSTOCK needs your expressive consent to the use of your image and/or content and of the personal data that may be contained in it.

If you respond to our message with "#YESBIRKENSTOCK" you grant BIRKENSTOCK the unlimited, non-exclusive, royalty-free, assignable, sublicensable, perpetual, worldwide right to use that relevant UGC. The utilization includes the use of your UGC in the BIRKENSTOCK websites, online-shops, social media pages, e-mails, newsletters, postings or ads, during events, store signage and all BIRKENSTOCK marketing and/or distribution channels and/or materials without further notice or any compensation to you.

Please do not give us your consent to use of UGC that you do not want to become subject to these #BIRKENSTOCK Terms of Use.

• you are responsible for any information, profiles, text, files, images, photos, video, sound, or other content and/or materials that you submit, upload, post or otherwise provide or make available to BIRKENSTOCK or its affiliated entities.
• you own or control all rights in and to your UGC. In case your UGC includes elements belonging to a third-party, that you have obtained all the necessary consents by the relevant third-party. Your UGC and BIRKENSTOCK's use of it will not infringe or violate the rights of any third parties, including, but not limited to, copyrights, trademarks, rights of publicity/privacy, patent, trade secret or confidentiality. You further represent and warrant that your UGC comply with all applicable laws, rules and regulations, and any third party agreements to which you are subject.
• your UGC does not contain spam. You also may not use a false email-address or impersonate any person or entity, or otherwise mislead BIRKENSTOCK as to the origin of any UGC.
• your UGC may be used on the website www.birkenstock.com and/or on any and all BIRKENSTOCK marketing and/or distribution channels and/or materials, including e-mails, social media, during events and store signage without further notice or any compensation to you.

We may use your UGC, and any ideas, concepts or know-how contained herein, for any purpose including, without limitation, developing, manufacturing, distributing and marketing products. Subject to the licenses granted in these Terms of Use, you retain ownership of any copyrights and rights of publicity you may have in your submissions.

You may only make a submission if you are 18 years of age or over. If your UGC is selected by BIRKENSTOCK to be used, it may be displayed for other users to see, together with your name, associated social media channels (if applicable) and profile information (such as your profile picture). BIRKENSTOCK is under no obligation to display, feature or use any submission, but may do so at its sole discretion.

Finally, by responding "#YESBIRKENSTOCK" you agree to indemnify in full and hold BIRKENSTOCK and any person acting on BIRKENSTOCK's behalf harmless from and against any claims, demands, damages, liabilities, and costs, including the costs of legal defense and legal prosecution incurred by BIRKENSTOCK in connection with the regular use of the UGC as described above. Depending on what is included in your UGC, and also in the country you are based in, your social network account name and your relevant UGC may contain personal data that BIRKENSTOCK may access and process in relation to the use of your UGC.

If you do not agree with these Terms of Use please do not reply with "#YESBIRKENSTOCK" to our message under your relevant UGC and thereby give us the consent to use the relevant UGC.

By responding to the message from our BIRKENSTOCK account with "#YESBIRKENSTOCK" you give BIRKENSTOCK your express and specific consent to the use of the above described UGC.

You can revoke at any time your granting of usage rights and privacy consent by sending BIRKENSTOCK an email at yesbirkenstock@birkenstock.com.

If you believe that your work has been copied in a way that constitutes copyright infringement, please notify BIRKENSTOCK at yesbirkenstock@birkenstock.com.

BIRKENSTOCK reserves the right to alter these Terms and Conditions without warning.
